Terms of Service

These Terms of Service ("Terms") govern the relationship between Alexander
James Pooley of zue.dev ("Provider", "we", "us", or "our") and the client
("Client", "you", or "your"). By engaging our services, paying an invoice,
or using our hosting infrastructure, you agree to be bound unconditionally
by these Terms.
1. Scope of Services
We provide IT consultation, software engineering, and hosting services as
outlined in the specific quote, invoice, or Statement of Work (SOW)
provided to you.

Modifications: We reserve the right to modify, suspend,
or discontinue any part of our services at any time, with or without
notice, without liability to you.

Scope Creep: Any requests outside the explicitly
documented SOW will be billed at our standard hourly rate of £50 GBP. We
reserve the right to refuse additional work.
2. Fees, Billing, and Non-Payment

Non-Refundable: All payments are strictly
non-refundable unless expressly stated otherwise in writing.
- Payment Terms: Invoices are due upon receipt.

Late Penalties: We reserve the right to charge a late
fee of 5% (FIVE PERCENT) per month on any outstanding balances.

Right to Suspend: If your account falls into arrears,
we maintain the absolute right to suspend all services—including taking
offline any hosted websites or applications and withholding code—until
payment is made in full. We are not liable for any lost revenue or data
during this suspension.
3. Intellectual Property (IP) Rights

Retained Ownership: Provider retains full and exclusive
ownership of all underlying code, methodologies, libraries, templates,
and intellectual property developed or utilized during the project.

License Granted: Upon full, cleared payment, you are
granted a non-exclusive, non-transferable license to use the final
delivered software/system for its intended business purpose.

No Source Code Transfer: Unless explicitly agreed upon
in writing for an additional fee, we do not transfer copyright or the
raw source code of proprietary components to the Client.
4. Hosting, Maintenance, and Data

No Uptime Guarantee: While we strive for reliability,
hosting services are provided strictly on an "as-is" and "as-available"
basis. We do not guarantee 100% uptime.

Client Responsibility for Backups: You are solely
responsible for maintaining independent backups of your data. We are not
liable for any data loss, corruption, or breaches, regardless of the
cause.

Acceptable Use Policy (AUP): We reserve the right to
immediately terminate your hosting without notice or refund if your site
is used for illegal activities, spam, resource abuse, or violates any
laws.
5. Disclaimer of Warranties
All services are provided "AS IS". To the maximum extent
permitted by law, Provider disclaims all warranties, express or implied,
including but not limited to implied warranties of merchantability,
fitness for a particular purpose, and non-infringement. We do not warrant
that the software or hosting will be error-free, secure, or uninterrupted.
6. Limitation of Liability

Maximum Liability: Under no circumstances shall
Provider’s total liability for any claim arising out of or relating to
these Terms or our services exceed the total amount you paid to us in
the three (3) months immediately preceding the event
giving rise to the claim.

No Consequential Damages: We shall not be liable for
any indirect, incidental, special, consequential, or punitive damages,
including loss of profits, loss of data, or business interruption, even
if we were advised of the possibility of such damages.
7. Indemnification
You agree to indemnify, defend, and hold harmless Provider from any
claims, damages, liabilities, costs, and expenses (including legal fees)
arising from your use of our services, your violation of these Terms, or
your infringement of any third-party rights.
8. Termination

Termination by Provider: We reserve the right to
terminate this agreement and your access to any services at any time,
for any reason, with immediate effect and without liability.

Data Deletion: Upon termination by either party, we
reserve the right to permanently delete all of your data, code, and
files from our servers without further notice.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws
of England, United Kingdom. Any disputes shall be subject to the exclusive
jurisdiction of the courts of England, United Kingdom.
